Board of Directors
Chair Members of the Board of Directors are responsible for establishing the strategic direction and overall mission.
The Board of Directors function champions the business initiatives and leads the strategic direction. This function sets the frequency of Board and management meetings. Members of the Board (Shareholders) are required to participate in all board/management meetings. Minutes of these meetings will be kept by a designated resource.
The President/CEO function reports to the Board. The Board will recruit, hire, appoint, and terminate the President/CEO function. Financial, performance, production, and market metrics will be reviewed and discussed, in addition to overall company progress as it relates to achieving established strategic goals. Goals will be reviewed, approved, and set.
The Board function is responsible for determining the exit strategy of the business initiative. In addition, this function is responsible for conducting referendums on new members. The Board determines profit distribution, shares, and disbursement schedules. The Board function authorizes and approves all matters related to profit sharing, stock options, business insurance products, and company reorganizations.
